Turbo IT Service Agreement

This Service Agreement (this "Agreement") is made between Turbo IT Limited, a company registered in England and Wales (Company No. 11703892), whose registered office is at 7 St Petersgate, Stockport, Cheshire, SK1 1EB ("Turbo IT", "we", "us" or "our"), and the business that signs it at checkout (the "Customer", "you" or "your").

You accept this Agreement by typing your name, ticking the authority-to-sign box, and completing checkout. The "Effective Date" is the date shown on your signed copy; your business details, the plan, add-ons and price are those shown on screen immediately before you signed, and are recorded against your order in our records and in Stripe's payment record for your purchase.

Services available under this Agreement: AI Website, AI E-commerce, Competition Platform, AI Automation, Hosting, SEO, PPC, Domains. Your signed copy shows only the service(s) included in the plan you purchased.

This Agreement works alongside our general Terms of Service and the Turbo IT Standard Terms & Master Services Agreement. Where this Agreement addresses a specific commercial point (price, term, or the services included in your plan), this Agreement prevails.

Scope of Services

1. Services

Turbo IT will provide the Services described in the plan and any add-ons selected by the Customer at checkout.

2. What's Included

Only the Services described in the plan and add-ons selected at checkout are included unless otherwise agreed in writing.

3. Customer Responsibilities

Provide approvals, content, access and information promptly.

4. Go-Live

Unless a material defect is reported within 14 days of go-live, the Services are deemed accepted.

Key Commercial Terms

5. Initial Term

The Agreement has a fixed Initial Term of 36 months and continues monthly thereafter until terminated on one month's written notice.

6. Charges

All Charges are payable on the agreed due date. All fees are exclusive of VAT, which will be charged at the prevailing rate where applicable.

7. Customer Delays

Customer delays, missing approvals or failure to cooperate do not suspend payment obligations or extend the Initial Term.

8. Early Termination

The Initial Term is a minimum commercial commitment. If the Customer terminates before expiry of the Initial Term, the Customer remains liable for the Charges that would have become payable for the remainder of the Initial Term, less any direct costs demonstrably saved by Turbo IT. This clause is intended to compensate Turbo IT for losses arising from early termination and not to impose a penalty.

9. Suspension

Turbo IT may suspend Services for non-payment after at least 7 days' written notice. Suspension does not reduce payment obligations.

Important Legal Terms

10. Ownership

The Customer owns its branding and original content. Turbo IT owns its software, templates, source code, AI systems, automation workflows and platform.

11. Liability

Subject to applicable law, Turbo IT's aggregate liability is limited to the Charges paid in the preceding 12 months.

12. Confidentiality

Both parties will keep confidential information confidential.

13. Data Protection

Both parties will comply with applicable data protection law.

14. MSA

The Turbo IT Standard Terms & Master Services Agreement forms part of this Agreement. If there is any inconsistency, the order of precedence is: (1) this Service Agreement; (2) the plan and add-ons selected at checkout; (3) the MSA.

Acceptance & Signatures

By signing, the Customer confirms that they have authority to bind the Customer, received the Turbo IT Standard Terms & Master Services Agreement before signing, had the opportunity to review it and obtain independent legal advice if desired, and agree that it forms part of this Agreement.

Turbo IT’s side is countersigned automatically the moment you sign, as Turbo IT Limited, a company registered in England and Wales (Company No. 11703892), whose registered office is at 7 St Petersgate, Stockport, Cheshire, SK1 1EB.
